Terms of Service
These Terms of Service ("Terms") govern your use of the FrontDesk platform and services ("Service") provided by Life Aware Technologies LLC ("Company," "we," "us," or "our"). By accessing or using FrontDesk, you agree to be bound by these Terms.
1. Description of Service
FrontDesk is an AI-powered voice agent and communications platform designed for real estate professionals. The Service includes:
- AI voice agents that answer inbound phone calls and make outbound calls on your behalf
- Automated lead qualification, scoring, and routing
- Call recording, transcription, and AI-generated summaries
- SMS messaging capabilities with AI-assisted responses
- Appointment scheduling and Google Calendar integration
- A web-based dashboard for managing leads, calls, and settings
2. Account Registration
To use FrontDesk, you must create an account and provide accurate business and contact information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
3. Acceptable Use
You agree to use FrontDesk only for lawful business purposes. You may not:
- Use the Service for any illegal purpose or in violation of any applicable law
- Use the Service to make unsolicited calls or send unsolicited messages in violation of TCPA, CAN-SPAM, or other applicable regulations
- Misrepresent the AI voice agent as a human being when directly asked by a caller
- Use the Service to harass, threaten, or deceive any person
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Resell, sublicense, or redistribute the Service without prior written consent
- Interfere with or disrupt the Service or its infrastructure
- Upload or transmit malicious code, viruses, or harmful content
4. Telephony and Messaging Compliance
You are solely responsible for ensuring that your use of FrontDesk's calling and messaging features complies with all applicable laws and regulations, including but not limited to:
- TCPA — Telephone Consumer Protection Act, including requirements for prior express consent for automated calls and text messages
- State wiretapping and recording laws — including all-party consent requirements in applicable jurisdictions
- A2P 10DLC — Registration and compliance requirements for application-to-person messaging
- Do Not Call (DNC) regulations — federal and state DNC list requirements
- FCC regulations — including caller ID requirements and robocall rules
We provide tools to help with compliance (such as call recording disclosures), but compliance is ultimately your responsibility. You agree to indemnify us against any claims arising from your failure to comply with these laws.
5. AI Disclosure
FrontDesk uses artificial intelligence to conduct phone conversations and generate text messages. You acknowledge that:
- AI-generated responses may occasionally be inaccurate or inappropriate
- The AI voice agent is not a substitute for professional legal, financial, or medical advice
- You are responsible for reviewing AI-generated lead information and summaries for accuracy before acting on them
- Call transcripts are AI-generated and may contain errors
6. Data and Content Ownership
Your Data: You retain ownership of all business information, lead data, and content you provide to or generate through the Service. You grant us a limited license to use this data solely to operate and improve the Service.
Our Service: We retain all rights to the FrontDesk platform, AI models, software, and proprietary technology. Nothing in these Terms transfers ownership of our intellectual property to you.
Caller Data: Call recordings, transcripts, and caller information collected through the Service are stored on your behalf. You are the data controller for caller information and are responsible for handling it in compliance with applicable privacy laws.
7. Google Calendar Integration
If you connect your Google Calendar to FrontDesk, you authorize us to read and write calendar events on your behalf for the purpose of scheduling and managing appointments. You may revoke this access at any time through your Google account settings or the FrontDesk dashboard. Our use of Google user data complies with the Google API Services User Data Policy, including the Limited Use requirements.
8. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any losses resulting from Service downtime.
9. Payment and Billing
Paid plans are billed according to the pricing and billing cycle selected at the time of subscription. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.
10. Termination
Either party may terminate these Terms at any time. You may cancel your account through the FrontDesk dashboard or by contacting us. We may suspend or terminate your account if you violate these Terms or fail to pay applicable fees. Upon termination, your right to use the Service ceases immediately. We will retain your data for up to 90 days after termination, after which it will be permanently deleted.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIFE AWARE TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Life Aware Technologies LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law, including TCPA, state recording laws, and privacy regulations
- Any claim by a third party related to calls made or messages sent through your account
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.
14. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Texas.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the FrontDesk dashboard at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
